Resolution Criteria

Resolves YES if, by December 31, 2026, Kohl's Corporation: (a) publicly announces a formal review of strategic alternatives, OR (b) receives and publicly discloses a bona fide acquisition offer from any party (PE firm, strategic acquirer, LVMH), OR (c) files for Chapter 11 bankruptcy protection, OR (d) announces a going-private transaction. Resolves NO if none of these events occur by December 31, 2026, even if KSS continues to decline operationally.
